Consent to Receive Information Electronically (ESign Consent)

Please read this Consent to Receive Information Electronically (“ESign Consent”) carefully. It contains important information about your legal rights. We recommend that you download and/or print a copy of this ESign Consent for your records.

As part of your relationship with us, we are committed to ensuring you have the necessary information to manage your accounts effectively. By law, we are required to provide you certain information “in writing,” which means you are entitled to receive it on paper. However, with your prior consent, we may instead provide this information to you electronically. We also need your general consent to use electronic records and signatures throughout our relationship with you.

So, before you use any of our Digital Services (as defined below), you must review and consent to this ESign Consent.

In this ESign Consent:

  • “We,” “us,” “our,” and “M&T” mean M&T Bank and our affiliates.
  • You” and “your” mean the person giving this ESign Consent and each additional account owner (including a business), authorized signer, authorized user, delegate, product owner, and/or service user identified on or for any M&T Product.
  • Communications” means the disclosures, notices, agreements, undertakings, fee schedules, statements, records, documents, and other information we provide to you, or that you sign, submit, or agree to at our request. Communications may also include Tax Documents, subject to Section 4 below.
  • Digital Service” means any product, service, or functionality we make available, now or in the future, on our websites, mobile apps, or other electronic means, including through online or mobile banking.
  • Include” and “including” indicate that the list contains examples or illustrations. The item or items following the words “include” or “including” are neither exclusive nor exhaustive.
  • M&T Product” means any account, product, or service we offer that you apply for, own, use, access, or administer, now or in the future.
  • Tax Documents” means all tax statements and forms relevant to M&T Products that we are legally permitted to deliver to you electronically, now or in the future, including forms in the 1098, 1099, 1042, and 5498 series.

1. Your Consent.

In our sole discretion, the Communications we provide to you, or that you sign, submit, or agree to at our request, may be in electronic form (“Electronic Records”). We may also use electronic signatures and obtain them from you as part of our transactions with you.

2. Scope of Your Consent.

Your consent covers all Communications relating to any M&T Product, including any M&T Product you can apply for, obtain, use, access, or administer through a Digital Service. Your consent remains in effect until you give us notice that you are withdrawing it.

From time to time, you may seek to obtain a new M&T Product or use a new Digital Service. When you do, we may remind you that you have already given us your consent to use Electronic Records and signatures. If you decide not to use Electronic Records and signatures in connection with the new M&T Product or Digital Service, your decision does not mean you have withdrawn this consent for any other M&T Product or Digital Service.

We may also provide you with a copy of our Digital Privacy Notice by keeping it available for review on www.mtb.com, or, with prior notice to you, on another website where we offer Digital Services.

Additional examples of Communications covered by this ESign Consent include:

  • This ESign Consent and any amendments;
  • Our Digital Services Agreement and any amendments;
  • Any other agreements pertaining to a Digital Service and any amendments to those agreements;
  • All periodic account and activity statements, disclosures, and notices we provide to you concerning your M&T Products;
  • Any notice or disclosure regarding fees or assessments of any kind, including late fees, overdraft fees, over limit fees, and returned item fees;
  • Any notice or disclosure regarding credits or refunds we may owe you or amounts you owe us;
  • Notices of amendments and updates to your agreements with us;
  • Tax Documents (subject to Section 4 below); and
  • Other disclosures and notices that we are legally required to provide to you or choose to provide to you in our discretion.

3. Methods of Providing Communications to You Electronically. 

Electronic Records may be delivered to you in a variety of ways. These various delivery methods are described in our Digital Services Agreement and in other agreements we may have with you from time to time. In some cases, you will be able to choose whether to receive certain Communications electronically, or on paper, or both. We will provide you with instructions on how to make those choices when they are available.

We may always, in our sole discretion, provide you with any Communication on paper, even if you have chosen to receive it electronically. 

Sometimes the law, or our agreement with you, requires you to give us a written notice. You must still provide these notices to us on paper, unless we specifically tell you in our Digital Services Agreement or another Communication how you may deliver that notice to us electronically.

There are certain Communications that, by law, we are not permitted to deliver to you electronically, even with your consent. So long as required by law, we will continue to deliver those Communications to you in paper form. However, if the law changes in the future and permits any of those Communications to be delivered as Electronic Records, this ESign Consent will automatically cover those Communications as well.

4. Additional Provisions for Tax Documents.

We may, in our sole discretion, make certain Tax Documents available for electronic delivery. Each of the following applies to the electronic delivery of Tax Documents:

  • If you do not consent to receive Tax Documents electronically, paper copies will be provided.
  • Your election to receive Tax Documents electronically allows us to electronically deliver any Tax Document which we are legally permitted to provide to you now or in the future until you withdraw your consent.
  • You may withdraw your consent to receive Tax Documents electronically at any time by calling us at 1-800-790-9130, by sending us a secure message through online banking, or by sending us a written request via U.S. mail at M&T Bank, P.O. Box 4627, Buffalo, New York 14240-4627 and informing us that you wish to withdraw your consent to receive Tax Documents electronically. You may also change your preferences regarding electronic delivery of Tax Documents from time to time without withdrawing your consent. Withdrawal of consent to receive Tax Documents electronically will not affect Tax Documents previously provided electronically; such Tax Documents may continue to be provided electronically for the applicable posting period. We will provide confirmation of your withdrawal and the date it takes effect (either electronically or on paper). If you withdraw your consent to receive Tax Documents electronically, we will send you paper copies of any additional Tax Documents we are required to provide. 
  • You may receive a paper copy of any Tax Document by requesting a paper copy through the procedures described below in Section 5.
  • The delivery of Tax Documents electronically may be terminated at any time by us. If we terminate the delivery of Tax Documents electronically, we will send you paper copies of Tax Documents as required by applicable law. Further, we may make certain Tax Documents available electronically only for a limited time. Currently, most Tax Documents are posted online by either January 31 or February 15, as applicable, of the relevant year and remain available online for at least twelve (12) months, although we may make Tax Documents available electronically for a longer time.
  • If you need to update any information relevant to the electronic delivery of Tax Documents, you may do so through the procedures described below in Section 6.
  • A description of the hardware and software required to access, print, and retain Tax Documents is set forth below in Section 8.

5. Obtaining Paper Copies.

If we provide you an Electronic Record and you would like a paper copy, you may either print out the Electronic Record or call us at 1-800-790-9130 to request a paper version, provided that you make such request within a reasonable time after we first provided you the Electronic Record. You may have to pay a fee for the paper copy unless charging a fee is prohibited by applicable law. Please refer to the applicable statement or agreement for any fee that may apply for paper copies.

6. How to Update Your Contact Information.

You must promptly notify us of any change in your email or other electronic address. Log in to online banking to update your contact information and change the email address on record for you. You can also update your contact information at any time by calling us at 1-800-790-9130.

7. Withdrawing Consent.

You have the right to withdraw your consent to this ESign Consent at any time. To withdraw your consent, you must call us at 1-800-790-9130 or send us a secure message through online banking and inform us that you wish to withdraw your consent to this ESign Consent.

Please be aware, however, that withdrawing your consent:

  • will result in the termination of your access to our Digital Services, including online and mobile banking; and
  • may affect your ability to use certain M&T Products.

Your withdrawal of consent will become effective after we have had a reasonable opportunity to act upon it, and such withdrawal will not affect the legal effectiveness, validity, or enforceability of the Communications and Electronic Records that were provided to you before your withdrawal became effective. If you are receiving online account statements, the termination will cause future paper statements to be mailed to you. Depending on the specific M&T Product, if you withdraw consent, we may charge higher or additional fees for that M&T Product or for services related to it, unless doing so is prohibited by applicable law. Please refer to the applicable agreement for any fee that may apply.

8. Hardware and Software Requirements.

To access, print, and retain Electronic Records, you must have:

  • a connection to the Internet;
  • a Current Version (as defined below) of an Internet browser we support;
  • a Current Version of a program that accurately reads and displays PDF files, such as Acrobat® Reader® (a sample PDF of an account statement is available here);
  • a computer, mobile device, or other electronic device with an operating system capable of supporting all of the above; and
  • an active email address that is capable of receiving messages.

You will also need a printer if you wish to print out and retain Electronic Records on paper, and electronic storage if you wish to retain Electronic Records in electronic form. In addition, to access our Digital Services through mobile banking, you will need a mobile device and Current Version(s) of our mobile app(s).

In some cases, you may also need a specific brand or type of device that can support a particular software application, including an application intended for particular mobile or handheld devices.

By “Current Version,” we mean a version of the software that is currently being supported by its publisher and us. The following page includes a list of the browsers we currently support and related information: System Requirements.

You should check the System Requirements page occasionally for updates on supported software. From time to time, we may offer products, services, or features that require that your Internet browser be configured in a particular way, such as permitting the use of JavaScript or cookies.

We reserve the right to discontinue support of a Current Version of software if, in our sole opinion, it suffers from a security flaw or other flaw that makes it unsuitable for use with Digital Services.

9. Changes to Hardware or Software Requirements. 

If our hardware or software requirements change, and that change would create a material risk that you would not be able to access or retain your Electronic Records, we will give you notice of the revised System Requirements. Continuing to use Digital Services after receiving notice of the change is reaffirmation of your consent to this ESign Consent.

10.  Your Enrollment in Digital Services Using Our Equipment.

If your access to a Digital Service is initiated through one of our customer service representatives or using our equipment, your enrollment may not be complete until you take additional action. We will advise you, at the time of your enrollment, of any additional action you must take, including providing your consent to this ESign Consent.

11.  Termination; Changes. 

We reserve the right, in our sole discretion, to discontinue the provision of your Electronic Records, or to terminate or change the terms and conditions on which we provide Electronic Records. We will provide you with notice of any such termination or change as required by law.

By providing your consent, you confirm that you have read and understand the terms and conditions of this ESign Consent and consent to use Electronic Records and signatures under the terms of this ESign Consent. You confirm that you have the hardware and software described in this ESign Consent, an active email account that is capable of receiving messages, and the ability to access and view PDF files. You also represent that you are authorized to, and do, consent to this ESign Consent on behalf of all the other account owners, authorized signers, authorized users, delegates, product owners, and/or service users identified with your M&T Products.

IMPORTANT NOTE: If you are enrolled in M&T Online Banking and have not yet accepted this version of our ESign Consent, you are still subject to our previous ESign Consent.
